GENERAL AND SPECIAL TERMS AND CONDITIONS

​In these general terms and conditions, we have set out your rights and obligations as well as mine. If you participate in one of my training courses or (group) programs and there is an issue that you cannot find anything about in these terms and conditions, I would be happy to hear from you. Then we will look for a solution together.

If you see one of the following words in this text, this is what is formally meant by them:

Definitions

“Imago Dei Counseling: the business “Imago Dei Counseling,” established in Amsterdam and registered with the Dutch Chamber of Commerce under number 80423361; 

Consumer: the person who is not acting in the exercise of a profession or business and enters into a distance agreement with Imago Dei Counseling;  

Business Client: the legal entity or person acting in the exercise of a profession or business and entering into an agreement with Imago Dei Counseling;  

Client: the Consumer or Business Client with whom Imago Dei Counseling enters into an agreement, or the person who places an assignment;  

Services: the services offered by Imago Dei Counseling in the fields of coaching, counseling, training, workshops, (group) programs, 1:1 guidance, and speaking; 

Agreement: the agreement between the Client and Imago Dei Counseling that arises through the offering and acceptance of products and/or services provided by Imago Dei Counseling;

Distance Agreement: an agreement entered into by the Client with Imago Dei Counseling through a digital system for the remote sale of products and/or services;

Assignment: all work for which an instruction has been given in writing or verbally;

   Website: www.imagodeicounseling.nl, the website of Imago Dei Counseling where the Client can place an order for the delivery of products and/or services.

Applicability of the General and Special Terms and Conditions

These general and special terms and conditions apply to all offers made by Imago Dei Counseling and to every (distance) agreement between the Client and Imago Dei Counseling. The Client and Imago Dei Counseling may only deviate from these terms if this has been agreed in writing. All persons who work or have worked with, for, or on behalf of Imago Dei Counseling may invoke these terms. These general and special terms and conditions take effect on March 1, 2025.

Availability of the General Terms and Conditions

Imago Dei Counseling ensures that the Client is able to read these terms before the agreement is concluded. The terms may be provided or sent by email. If that is not possible, Imago Dei Counseling will indicate where the general terms and conditions can be viewed, for example on the Website.

Exclusion of the Client’s Terms and Conditions

Any purchasing or other terms and conditions of the Client acting as a Business Client do not apply, unless otherwise agreed in writing.  

Offers and Quotations

Every offer or quotation made by Imago Dei Counseling is entirely without obligation.

Imago Dei Counseling may revoke an offer or quotation within 5 working days after receipt of the message containing the offer or quotation. If no expiration date is stated on the offer or quotation, it remains valid for a maximum of 30 days. An offer is made on the basis of the information provided by the Client to Imago Dei Counseling. If the offer is not accepted by the Client within the stated period, the offer lapses. If the offer contains an error that the Client could reasonably understand, Imago Dei Counseling cannot be held to that offer.

Formation of the Agreement

The agreement is formed through acceptance of the quotation by the Client or through registration and participation in a (group) program via the Website. If there is no quotation, the agreement is concluded when Imago Dei Counseling confirms the Client’s assignment in writing, followed by payment by the Client for the services of Imago Dei Counseling. If a service is purchased via the Website, the agreement is concluded at the moment the Client finalizes the order by clicking the “Place Order” or “Checkout” button during the ordering process.

Prices and Rates

The rates applied when entering into the agreement are based on the price list of Imago Dei Counseling in force at that time, unless the Parties have agreed on a different rate. If changed circumstances require it, Imago Dei Counseling has the right to adjust the prices and rates during the performance of the agreement. Adjusted prices and rates will be communicated to the Client as soon as possible or displayed on the Website.

Additional Work

If the Assignment is changed or expanded after it has been confirmed in writing by Imago Dei Counseling, this constitutes an additional assignment for which Imago Dei Counseling may charge an additional fee. If a change or addition to the assignment results in extra costs, Imago Dei Counseling will inform the Client in advance.

Payments

The payment term of an invoice is 14 days after the invoice date, unless the parties have made different arrangements or a different term is stated on the invoice. If the Client does not pay an invoice on time, the Client will immediately be in default. In addition, the Client owes extrajudicial collection costs. For Consumers, the collection costs are calculated based on the Dutch Decree on Compensation for Extrajudicial Collection Costs. For Business Clients, the collection costs are set at 15% of the outstanding principal amount, with a minimum of €75. If there is bankruptcy, attachment, suspension of payment, the start of a debt restructuring process under the Dutch Debt Restructuring (Natural Persons) Act, or death on the part of the Client, the claims of Imago Dei Counseling against the Client become immediately due and payable.

Termination of the Agreement

If one party seriously fails to fulfill its obligations under the agreement and does not still fulfill this obligation within a reasonable period after having been expressly notified by the other party, the other party is entitled to terminate the agreement. If the Client has access to an online learning environment or (group) program, that access will be terminated. The services delivered up to the time of termination will be paid for in the agreed manner. The agreement may be dissolved by either party if a party is declared bankrupt, or if that party is granted (temporary) suspension of payment, reaches a private arrangement with creditors, or invokes the Dutch Debt Restructuring (Natural Persons) Act.

Intellectual Property

All documents and teaching materials developed by Imago Dei Counseling are protected by copyright. The Client is not permitted to sell the documents and teaching materials to third parties. The teaching materials provided are intended to inspire, not to be copied. In the event of any infringement of intellectual property rights, Imago Dei Counseling is entitled to claim compensation for damages insofar as the Client is aware of the infringement and has not remedied it.

Confidentiality

Imago Dei Counseling is obliged to keep the Client’s confidential information secret. Data may only be shared with a third party if the Client has explicitly given permission. The duty of confidentiality does not apply insofar as Imago Dei Counseling has a legal obligation to provide information. Imago Dei Counseling has the right to use case material from a file for writing blogs, social media content, or other written work. In doing so, it safeguards confidentiality by using anonymized data.  

Liability

Imago Dei Counseling accepts no liability for damage arising from or in connection with the services performed by it, unless there is intent or gross negligence. Imago Dei Counseling accepts no liability for failure to achieve the result the Client intended to achieve. The Client is responsible for providing correct and complete information. Imago Dei Counseling is not liable for damage resulting from an act or omission of the Client. Imago Dei Counseling is not liable for the loss of the Client’s belongings. The liability of Imago Dei Counseling is in all cases limited to the invoice value of that part of the agreement from which the liability arises. The liability of Imago Dei Counseling for indirect damage, including consequential damage, loss of profit, missed savings, and damage due to business interruption, is excluded. The Client indemnifies Imago Dei Counseling against all claims by third parties that are directly or indirectly related to the performance of the work. Imago Dei Counseling always has the right, if and insofar as possible, to remedy the Client’s damage, in which case the Client must provide all possible cooperation. All legal claims must be submitted to Imago Dei Counseling within one (1) year from the date of termination of the agreement or completion of the agreed work, failing which the claim will lapse.  

Personal Data 

By entering into an agreement with the Client, Imago Dei Counseling is granted permission for the (automatic) processing of the personal data obtained from the agreement. Imago Dei Counseling will use this personal data exclusively for its own activities. For more information, the Client is referred to the privacy policy of Imago Dei Counseling.

Force Majeure

If force majeure occurs, Imago Dei Counseling will inform the Client as soon as possible and has the right to interrupt, reschedule, or cancel the work. Force majeure includes, among other things, one or more of the following events: internet and power outages, disruption of email traffic, computer intrusion or hacker attack, government measures, theft, fire, business disruption, illness, accidents, terrorism, epidemics, pandemics, war situations, weather conditions, natural disasters, or personal family circumstances of the natural person working on behalf of Imago Dei Counseling. If the Assignment cannot be carried out for three (3) months, both parties may dissolve the agreement by means of a written statement. In that case, the Client is obliged to accept from Imago Dei Counseling the part of the Assignment that has been carried out and to pay for that part.

Complaints 

Complaints may be submitted to Imago Dei Counseling in writing or verbally, after which a solution will be sought. In addition, Imago Dei Counseling is affiliated with Centrum Pastorale Counseling. Depending on the nature of the services, complaints may be handled through this route.

Governing Law and Disputes

All agreements between the Client and Imago Dei Counseling to which these general terms and conditions apply are governed by Dutch law. All disputes arising from agreements between the Client and Imago Dei Counseling to which these general terms and conditions apply will, where possible, be resolved jointly. Imago Dei Counseling may ask Centrum Pastorale Counseling to mediate. If no resolution is reached, the dispute may be submitted to the competent court in the place where Imago Dei Counseling is established.

SPECIAL TERMS AND CONDITION

Definitions

In these special terms and conditions, in addition to the abbreviations used in the general terms and conditions, the following definitions apply:

Physical Meeting: a meeting organized at a physical location;

Online Meeting: a meeting organized through an online platform;  

Coaching: guidance of a Client toward a personal or business goal through multiple planned sessions;

1-on-1 Coaching and Counseling: individual counseling and coaching sessions and conversations; 

Group Coaching / (Group) Program: coaching sessions and conversations with more than one Client;

Workshop / Training: an organized (online) meeting aimed at knowledge transfer, possibly using teaching materials, which a Client may attend with a valid (digital) Admission Ticket;  

Event: an organized (online) meeting that is not a training or workshop and that a Client may attend with a valid (digital) Admission Ticket;

Client: the person participating in an event, coaching, training, (group) program, 1:1 guidance, or a workshop organized by Imago Dei Counseling;

Cancellation / Termination: the early termination of the agreement or the cancellation of a scheduled appointment by a Client;

Admission Ticket: a physical and/or digital document, ticket, or barcode supplied to the Client by Imago Dei Counseling and/or an official sales organization engaged by Imago Dei Counseling, granting access to a workshop or training.

Content of the Special Terms and Conditions

The special terms and conditions are divided into 5 parts:

Part 1: Events 

Part 2: Workshops and Training 

Part 3: Coaching 

Part 4: Hiring for Assignments 

Part 5: Sale of Products 

 

PART 1: EVENTS

Admission Tickets for Events

A Client may only gain access to an Event with a valid Admission Ticket. Purchased Admission Tickets are and remain the property of Imago Dei Counseling. Admission Tickets are only valid if they have been purchased from Imago Dei Counseling or from a ticket shop engaged or recognized by Imago Dei Counseling. The Client is aware that an Admission Ticket for an Event of Imago Dei Counseling cannot be returned or exchanged. An Admission Ticket is issued personally to you. It is permitted to sell an Admission Ticket to a third party after consultation and with written permission from Imago Dei Counseling.  

Obligations for Clients Attending Events

The Client must comply with the house rules and the instructions of Imago Dei Counseling and other authorized parties. The Client may only enter the areas designated by Imago Dei Counseling. The Client is not permitted to harass, hinder, or aggressively approach other Clients or staff present during the Event.

The Client is prohibited from making image recordings for purposes other than personal use, unless otherwise agreed between Imago Dei Counseling and the Client. If other Clients appear in this material, their permission is required to publish it. If a Client fails to comply with a provision of these general and/or special terms and conditions, or if a special situation arises, Imago Dei Counseling may invalidate the Admission Ticket and/or deny the Client access to the Event and/or remove the Client from the Event. In that case, the Client has no right to damages, compensation, and/or refund of admission fees.

If an event does not take place, the Participant will be informed no later than 5 (five) days before the start. Imago Dei Counseling may change the date to a later time up to 1 (one) week before the start. The Client will be informed of the change by email. Imago Dei Counseling will use the latest email address known to it. The Client is responsible for providing any changed or new email address in a timely manner.

Liability 

Imago Dei Counseling is only liable for damage suffered by the Client as a result of an attributable failure by Imago Dei Counseling. The total liability of Imago Dei Counseling is always limited to compensation for the Client’s direct damage. The liability of Imago Dei Counseling is always limited to the amount that will be paid out by Imago Dei Counseling’s insurer. Imago Dei Counseling is not liable for loss, theft, or damage to the Client’s personal belongings during an Event. If the Client causes damage to equipment during an Event, the Client is obliged to reimburse the appraised value.

Force Majeure / Change of Event Date 

The start time or schedule stated on the Admission Ticket is subject to change. Imago Dei Counseling aims to ensure that the Event is carried out as much as possible according to the announced schedule. However, Imago Dei Counseling accepts no liability for deviations in this respect or for any damage caused to the Client as a result. In the event of force majeure (see Article 15 of the general terms and conditions), Imago Dei Counseling has the right to move the Event to another date or cancel it. If Imago Dei Counseling moves the Event to another date, the Admission Ticket remains valid for that other (new) date. If the Client cannot or does not wish to attend the Event on the new date, Article 15 of the general terms and conditions applies accordingly.

If rescheduling is not possible or if the Client cannot attend on the new date, the Client will receive a partial or full refund. If Imago Dei Counseling is obliged to make payments or down payments to third parties and cannot recover those costs, these costs will be deducted from the amount to be refunded.

 

PART 2: WORKSHOPS AND TRAINING 

General Provisions for Workshops and Training

Imago Dei Counseling is entitled to expand, limit, or modify the content of a workshop/training. If a special circumstance arises, Imago Dei Counseling has the right to refuse or terminate participation in a workshop/training. In the event of exclusion from the workshop/training, the Client’s payment obligation remains in force. The Client is prohibited from making image recordings for purposes other than personal use, unless otherwise agreed between Imago Dei Counseling and the Client. If other Clients appear in this material, their permission is required to publish it. Visual material showing parts of the content of the workshop/training may only be shared to a limited extent and with attribution to Imago Dei Counseling. During meetings, Imago Dei Counseling may make photo, video, and/or audio recordings for educational and/or promotional purposes. Clients may be recognizable in these recordings. Imago Dei Counseling has the right to use these recordings for marketing and promotional purposes, for example.

Change of Date and/or Location of Physical Workshop/Training

In the event of unforeseen circumstances, Imago Dei Counseling may interrupt, postpone, or cancel a workshop/training. Unforeseen circumstances include, among other things, force majeure (see Article 15 of the General Terms and Conditions), insufficient registrations, and the absence of or defects in materials necessary for the proper execution of the workshop/training. Imago Dei Counseling will communicate such a change to the Client as soon as possible. If a Client is unable to attend the workshop/training on the newly scheduled date, Imago Dei Counseling will offer the Client the opportunity to join a future workshop/training. Current dates can be found on the website, and the Client is responsible for registering again.

Absence of the Client from a Workshop/Training

If a Client is absent from a workshop/training due to force majeure, it is possible, once only and in consultation, to set another date within 12 months after the scheduled workshop/training. Current dates are published on the website, and the Client is responsible for registering again. Imago Dei Counseling may request information from the Client in order to assess whether force majeure actually applied.

Cancellation of Online Workshop/Training for Consumers 

If a Consumer purchases an online workshop/training, by agreeing to these General and Special Terms and Conditions during the ordering process, he/she declares that he/she waives the right of withdrawal, because this concerns digital content within the meaning of Article 6:230p subsection g of the Dutch Civil Code. The digital content is delivered immediately, because after payment the Consumer receives direct access to the online material, thereby breaking the “seal,” and the service is delivered immediately.

Cancellation Terms for Physical Workshop/Training

If a Consumer purchases a physical workshop/training, he/she may cancel the service at any time. The following cancellation terms apply:

  • Cancellation from 3 weeks to 1 week before the start of the workshop: 50% of the workshop price
  • Cancellation within 1 week before the start of the workshop: 75% of the workshop price, or the actual costs incurred will be charged

Imago Dei Counseling charges cancellation fees because of time spent on administration, lost profit due to a reserved place that can no longer be filled, and the costs incurred in preparing the workshop/training location.

 

PART 3: COACHING 

1-on-1 Coaching

This article serves as a detailed explanation of the content of Imago Dei Counseling’s “1:1 Coaching.” 1:1 coaching means the personal guidance and coaching of the Client, not in a group setting. Information about the duration, number of sessions, and other house rules will be provided to the Client at the same time as the offer by Imago Dei Counseling. Advice provided by Imago Dei Counseling, in whatever form, can never be regarded as binding advice.

The content of the counseling offered by Imago Dei Counseling and the advice given during the counseling and coaching are non-binding and purely advisory in nature. Imago Dei Counseling will observe the duty of care incumbent upon it. The counseling and coaching will, as far as possible, be tailored to the wishes of the Client.

Before the start of the coaching, the Client shall inform Imago Dei Counseling in writing of all circumstances that are or may be important, including any points and priorities to which the Client wishes attention to be given.

One-on-one coaching sessions must be canceled by email at least 24 hours in advance, after which a new appointment can be scheduled. A new or replacement appointment must always be scheduled within the duration of the program. For example, if a program lasts 12 months, the appointment must be made up within those 12 months.

Imago Dei Counseling cannot guarantee that an appointment canceled by the Client can be rescheduled at another time. If this is not possible, a coaching session may lapse. However, this does not mean that the Client is entitled to a refund of (part of) the price of the relevant Service. It is the Client’s responsibility to make use of the coaching session.

If the Client is not satisfied with the services or coaching of Imago Dei Counseling, the complaints procedure of Article 16 of the General Terms and Conditions applies.  

(Group) Program and 1:1 Trajectories

This article serves as a detailed explanation of the content of the digital product, the (group) program, and the 1:1 trajectories of Imago Dei Counseling. The website contains a description of the various (group) programs that a Client may follow for payment. Imago Dei Counseling has the right to change the name, content, and duration of the program at any time. Clients will be informed of this in a timely manner.

A (group) program means access to participation in the online program for a fixed period. Preferably, 2 online meetings are held per month, during which the Client has the opportunity to ask questions. In addition, the Client also receives access to an online community where they can exchange ideas with other Clients.

If the Client wishes to terminate the (group) program and/or 1:1 trajectory early, a reasonable fee for the services of Imago Dei Counseling will be charged. If termination occurs during the first month, the calculation will be based on one month plus 10% of the total cost of the program and, where applicable, reimbursement of expenses incurred by Imago Dei Counseling. The Client will receive a final invoice by email. If the Client participates in the (group) program and/or 1:1 trajectory for more than one month, no refund is possible. Periodic debits will also continue and must be paid.

A Client, being a Consumer who has agreed to the general terms and conditions, thereby gives permission for the direct performance of the agreement and therefore waives the right of withdrawal, since participation in a (group) program concerns immediate access to a digital product.

Clients that are businesses, or those acting on behalf of a legal entity, have no option of early termination and therefore no right to a refund after purchase of the program, since participation in the program concerns immediate access to digital products. The (group) program is entered into for a fixed term.  

Subscription

Imago Dei Counseling offers a subscription for a fixed rate. The subscription has a minimum term of 6 months, during which Imago Dei Counseling invoices monthly in advance, unless otherwise agreed. Toward the end of the period, a Client may cancel with due observance of a notice period of 2 (two) months. If the Client does not do so, the subscription will automatically be renewed for the same period for which it was initially concluded. In the event of partial use or early termination, no refund of the invoice will take place. In the event of early dissolution, you remain fully obliged to pay the agreed amounts.

 PART 4: HIRING FOR ASSIGNMENTS

Assignment Confirmation

If the Client gives an Assignment to Imago Dei Counseling, the content of the assignment will be described in detail in a quotation or assignment confirmation. If the Client agrees to the content of the quotation or assignment confirmation, Imago Dei Counseling will make every effort to carry out the Assignment. Imago Dei Counseling will execute the assignment to the best of its knowledge and ability.

Cancellation of Assignment 

If the Client cancels a service of Imago Dei Counseling early, the following cancellation terms apply:

  • Cancellation from 3 weeks to 1 week before the start of the assignment: 50% of the assignment fee
  • Cancellation within 1 week before the start of the assignment: 100% of the assignment fee

The cancellation fees are intended to compensate for the damage suffered by Imago Dei Counseling due to the hours spent preparing the assignment and the loss of income because Imago Dei Counseling was unable to accept new assignments during that period. The Client may only cancel the assignment in writing.  

PART 5: SALE OF PRODUCTS

Delivery and Performance

The place of delivery is deemed to be the address made known by the Client to Imago Dei Counseling. Imago Dei Counseling will fulfill an order as quickly as possible. If an order is delayed or cannot be delivered, Imago Dei Counseling will inform the Client within 30 days after the order has been placed. If the order cannot be delivered, the Client may terminate the agreement free of charge. The amount paid will be refunded to the Client as soon as possible.

Right of Withdrawal for Consumers

A Consumer who orders a product may terminate the agreement without stating reasons during a cooling-off period of 14 days. A withdrawal form is available and can be requested by email at [email protected].

 

Cancellation of the Order  

Imago Dei Counseling has the right to cancel the order if:

  • the offer is no longer available;
  • the Client has provided an incorrect or unreachable telephone number or other contact details; or
  • in the event of force majeure as described in Article 15 of the general terms and conditions.
